In short
- Payment: within 14 days of the invoice date. Statutory interest applies to late payment.
- Liability: direct damages are capped per year at the amount invoiced in the preceding twelve months. Indirect damages are excluded.
- Intellectual property: rights to materials we develop remain with Elevate 365, unless agreed otherwise in writing.
- Support: maintenance and support on a best-effort basis, without guaranteed response or resolution times, unless agreed otherwise.
- Term: ongoing agreements renew for twelve months at a time, cancellable with three months' written notice.
- Governing law: Dutch law. Disputes are submitted to the court in Amsterdam.
